Experience: Sarjit Singh Gill, SC is Senior Counsel and Head of the Litigation, Insolvency and Restructuring practices of Shook Lin & Bok. He has been a partner at Shook Lin & Bok since 1984. He obtained an LLB (Hons) from the University of Singapore in 1976 and was admitted to the Singapore Bar in 1977. In June 2003, he was admitted as a Solicitor of England and Wales. Over the past 30 years he has had an extensive practice in litigation, insolvency and restructuring. In litigation he has handled a wide range of disputes with a bias towards banking and finance litigation, a fair share involving Indonesian and other regional borrowers. In insolvency and restructuring matters he has acted in different capacities - for the creditor banks, for the insolvency practitioner and also at times for the borrower/debtor. He is in a comfortable position to advise creditor banks not only on local aspects of restructuring but also on the position of the creditor banks in the event that a company should decide to resort to local insolvency legislation or procedures for protection, for example, judicial management or the restraining order available under Section 210 of the Singapore Companies Act. In such event the creditor banks normally need advice on the various options open to them in the face of the protection sought by the company.

He served as Chairman of the Inter-Pacific Bar Association's Insolvency Committee from 2007 to 2008 and was Vice-Chairman from 1998-2005. He has spoken at various conferences largely on cross border insolvency issues. He has also spoken to banks and financial institutions on banking and insolvency topics.

He is the only Singapore member of the International Insolvency Institute (since 2004) and has also been the Singapore correspondent for the Receivers, Administrators and Liquidators' Quarterly since 1994. In 1999, he served as the Singapore consultant to the Asian Development Bank for its Symposium on Insolvency Law Reform in Asia. Received his LL.B. degree from the University of Singapore in 1962. He was admitted as an Advocate and Solicitor of the Supreme Court of Singapore on 1 April 1963 and to that of West Malaysia in the following year. Mrs. Wong has advised many multinational corporations, venture capitalists/private equity houses and financial institutions on their corporate legal requirements, capital raisings, and in their acquisitions and divestments of businesses.

Representative Clients, Cases or Matters
Recent transactions include:

  • Advising YTL Corporation Berhad in relation to its acquisition from Macquarie Bank Limited of approximately 26% of the units in Macquarie Prime Real Estate Investment Trust ("MP-REIT"), a real estate investment trust listed on the main board of the SGX-ST; and 50% of the issued shares in a holding company which is the 100% shareholder of the manager and property manager of MP-REIT, for a total sum of S$285 million.
  • Acted for Dubai-based Al-Futtaim Group in connection with its voluntary general offer for Singapore-listed Robinson and Company Limited, and subsequent privatization of Robinson & Company Limited at more than S$600 million.
  • Acted for AXA Private Equity in its investment into Bharti Infratel Limited. This investment formed part of a larger restructuring exercise which involved the creation of an entity with several well-established international telecommunication companies in relation to passive telecommunication infrastructure in India. The total size of the deal is US$50 million.
  • Acted for AXA Private Equity in its investment into Bharti Infratel Limited.   • Advising the Affinity Group on the acquisition of 44% of and subsequent mandatory general offer for Singapore-listed Jaya Holdings Limited, including all relevant share sale and purchase agreements with the primary shareholder and management.  The size of the total offer was S$1 billion.
  • Advising NutriAsia Inc. and San Miguel Corporation in their joint acquisition of Del Monte Pacific Limited by way of a put option and a takeover, at an offer price which valued the target at approximately US$418 million.

Alvin YEO, Senior Counsel, is the Senior Partner of WongPartnership LLP.   • Acting for a Malaysian media group in an international arbitration concerning a proposed joint venture for satellite pay television services in Indonesia. The matter also involves multiple proceedings in other jurisdictions with claims totalling over US$1.75 billion;
  • Acting for Bayerische Hypo- und Vereinsbank AG in legal proceedings against Asia Pacific Breweries (Singapore) Pte Ltd ("APBS") in relation to the largest corporate fraud in Singapore's history;
  • Acting for a US oil major, in an international arbitration against an international consortium of contractors and Singapore statutory body for damage to crude discharge facilities;
  • Acting for a US private equity firm in a shareholder dispute arising from a US$267 million leveraged buy-out of a manufacturing company, involving Court actions in Singapore and Mauritius as well as 2 separate arbitration proceedings.

Alvin graduated from King’s College London, University of London, and was admitted to the English Bar (Gray’s Inn) in 1987 and the Singapore Bar in 1988. In January 2000, Alvin became the youngest lawyer to be appointed Senior Counsel.

He is a member of ICC Commission of Arbitration, the Singapore International Arbitration Centre's Main Panel of Arbitrators and a Fellow of the Singapore Institute of Arbitrators. He is also a member of the Appeals Advisory Panel of the Monetary Authority of Singapore, and served on two separate committees in 2002 and 2007, which reviewed the legal services sector and reported to the Government with proposals for reform. He is a Member of Parliament, and the Deputy Chairman of the Government Parliamentary Committee for Home Affairs and Law.
